TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern your access to and use of the WorthMap application, website and related services (together, the "Service"). The Service is operated by HK Managed Services Provider Limited, a company incorporated in Hong Kong with registered office at Unit 2A, 17/F, Glenealy Tower, No. 1 Glenealy, Central, Hong Kong ("WorthMap", "we", "us" or "our"). WorthMap is a trademark of HK Managed Services Provider Limited.
Please read these Terms carefully. By creating an account, accessing or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
IMPORTANT NOTICE — NO FINANCIAL ADVICE. WorthMap is an informational and personal organisation tool only. Nothing made available through the Service is investment, financial, tax, accounting or legal advice, a personal recommendation, or an inducement to buy, sell or hold any investment. We do not know your personal circumstances, objectives or risk tolerance and do not assess whether any investment, product or strategy is suitable or appropriate for you. The value of investments can go down as well as up, and you may get back less than you invested. You are solely responsible for your own decisions and should obtain independent professional advice before acting.
"Content" means all data, information, figures, valuations, prices, scores, charts, projections, analytics and other materials made available through the Service. "User", "you" or "your" means the natural person who accesses or uses the Service for personal, non-professional purposes. "Third-Party Sources" means the market data providers, exchanges, financial institutions, aggregation services and other external sources from which Content is obtained.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement in order to use the Service. By using the Service you represent and warrant that you meet these requirements and that the information you provide to us is accurate, current and complete. The Service is not intended for, and may not be used by, any person in a jurisdiction where such use would be contrary to applicable law.
The Service is a personal wealth-tracking, portfolio-organisation and informational tool. It allows you to record, aggregate and visualise information about your assets, incomes, expenses and liabilities, and to consult market data, screeners, indicators and analytics for informational purposes only.
The Service is provided strictly for general informational and personal organisational purposes. It is a tool to assist you and is in no way a substitute for your own judgment or for professional advice.
Nothing made available through the Service constitutes, or is intended to constitute, financial, investment, accounting, tax, legal or any other form of professional advice, a recommendation, a solicitation, an offer or an invitation to buy, sell or hold any security, financial instrument, asset or product, or to engage in any transaction or strategy. WorthMap is not a bank, broker-dealer, investment adviser, financial adviser, portfolio manager or tax adviser, and does not act in any such capacity.
Any decision you make on the basis of, or in connection with, the Service or any Content is made entirely at your own discretion and risk. You are solely responsible for your financial decisions and should seek independent professional advice that is appropriate to your individual circumstances before acting. Past performance is not a reliable indicator of future results, and valuations, projections and scores are illustrative only.
In particular, you acknowledge and agree that:
The Content is compiled, in whole or in part, from Third-Party Sources and is made available to you on a "best effort", "as is" and "as available" basis. We use commercially reasonable efforts to source Content that is reasonably reliable, but we do not originate, independently verify or guarantee it.
To the maximum extent permitted by applicable law, we make no representation, warranty or guarantee of any kind, whether express or implied, as to the accuracy, completeness, timeliness, reliability, continuity, fitness for a particular purpose or currency of any Content. Content may be delayed, incomplete, interrupted, inaccurate, out of date or contain errors or omissions, including as a result of acts, omissions, delays or failures of Third-Party Sources, which are outside our control. You acknowledge that any reliance you place on the Content is strictly at your own risk.
You are responsible for the accuracy of any information you enter into the Service, for verifying any Content before relying on it, and for keeping your account credentials confidential and secure. You agree not to: (a) use the Service for any unlawful, fraudulent or unauthorised purpose; (b) attempt to gain unauthorised access to the Service, its systems or other users' data; (c) interfere with, disrupt, overload or impair the Service or its infrastructure; (d) copy, scrape, extract, redistribute, resell or commercially exploit the Service or any Content except as expressly permitted; or (e) circumvent or attempt to circumvent any security, access or usage restriction. You are responsible for all activity that occurs under your account.
The Service and all Content, software, design, text, graphics, trademarks and other materials (other than data you submit) are owned by or licensed to WorthMap and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Service for your own personal, non-commercial purposes, subject to these Terms. No other rights are granted.
The Service may rely on, integrate with, or contain links to third-party services, websites or content. We do not control and are not responsible for any third-party service or content, including its accuracy, availability, security or terms. Your use of any third-party service is governed by that third party's terms and is at your own risk.
We do not warrant that the Service will be uninterrupted, error-free, secure or available at any particular time or location. We may, at any time and without liability, modify, suspend, restrict or discontinue the Service or any part of it, including for maintenance, updates, security or operational reasons.
To the maximum extent permitted by applicable law, the Service and all Content are provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied or statutory, including without limitation any implied warranties of merchantability, satisfactory quality, accuracy, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service or any Content will meet your requirements or expectations, or produce any particular outcome.
To the maximum extent permitted by applicable law, WorthMap, HK Managed Services Provider Limited and its affiliates, directors, officers, employees, agents, licensors and Third-Party Sources shall not be liable to you for any loss or damage of any kind arising out of or in connection with your use of, or inability to use, the Service or any Content, including without limitation: (a) any investment, trading, financial, tax or business decision, or any transaction, entered into or not entered into; (b) any loss of profits, revenue, savings, goodwill, opportunity, data or anticipated benefits; (c) any inaccuracy, error, omission, delay, interruption, unavailability or loss of Content or data; or (d) any indirect, incidental, special, consequential, exemplary or punitive damages, in each case whether based in contract, tort (including negligence), statute or otherwise, and whether or not such loss or damage was foreseeable or we were advised of its possibility.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with the Service and these Terms shall not exceed the greater of (i) the total amount you have paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the liability, or (ii) one hundred euros (EUR 100).
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. If you are a consumer, these Terms do not affect any mandatory statutory rights that cannot lawfully be waived, and the limitations above apply only to the extent permitted by such law.
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless WorthMap, HK Managed Services Provider Limited and its affiliates, directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Service, or your violation of any law or of the rights of any third party.
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms or applicable law, or to protect the security or integrity of the Service. You may stop using the Service and close your account at any time. Provisions which by their nature should survive termination (including those on intellectual property, disclaimers, limitation of liability, indemnification and governing law) shall continue to apply.
We may update these Terms from time to time to reflect changes to the Service, to the law or for other legitimate reasons. The revised Terms will be made available through the Service and take effect from the date of publication or as otherwise stated. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of them. If you do not agree, you must stop using the Service.
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict-of-law rules. The courts of Hong Kong shall have jurisdiction, save that, where you are a consumer, you also benefit from any mandatory protections and may bring proceedings in the courts of your country of residence where applicable law so provides.
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified or severed to the minimum extent necessary and the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of it. You may not assign or transfer your rights or obligations under these Terms without our prior written consent; we may assign these Terms in connection with a reorganisation, merger or transfer of our business. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us in relation to the Service. We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control.
